Meta has priced depositary shares linked to its Series A preferred stock and is selling Class A common stock through forward sale agreements, according to one outlet's report. Together the offerings rank among the larger equity financings by a Big Tech company, and the proceeds are earmarked largely for the company's AI infrastructure push.

How the preferred offering is structured

The preferred side consists of 250 million Series A depositary shares priced at $50 each, which comes to roughly $12.5 billion. A depositary share is a fractional slice of a larger security. Each carries a $50 liquidation preference, while each underlying preferred share carries $1,000, meaning one preferred share corresponds to 20 depositary shares.

Holders receive a preferred-style instrument now and are set to see it convert mandatorily into Class A common stock around August 15, 2029, whether or not they want it.

Common stock sold under forward agreements

The second component is $22.5 billion of Class A common stock sold through forward sale agreements, with Morgan Stanley and Goldman Sachs leading the underwriting. The underwriters also hold a 30-day option to buy up to 37.5 million additional shares.

Under such an arrangement, banks place shares with investors at the outset, and the company later settles by issuing new shares to those banks on a future date. The company thereby secures pricing certainty without issuing everything at once.

Use of proceeds and wider significance

Meta has said the proceeds will go toward general corporate purposes. The report characterises this in practice as AI infrastructure investment, the area toward which the company's spending has been heading for some time.

The report says the raise underscores Meta's aggressive investment in AI infrastructure and could reshape its market position and shareholder dynamics.

Open questions

  • How much of the proceeds will ultimately go to AI infrastructure?
  • Will the underwriters exercise their option on the additional 37.5 million shares?
