What happened

They hold the keys to protocols managing serious money, yet many were deliberately designed to capture little or no value. 12, 2026 Governance tokens have spent years in an odd position.

ScopeLift CEO Ben DiFrancesco thinks that arrangement is running out of road. On a recent episode of the Unchained podcast’s “Uneasy Money” show, he argued that a governance token’s value has to exceed whatever an attacker could gain by stealing the assets it governs.

He also said the regulatory cover for building tokens that return nothing to holders is disappearing. The security math behind governance tokens Governance tokens grant voting power over a protocol’s treasury, parameters and contracts.

If the market value of enough tokens to control a vote is lower than the assets those votes can move, a hostile takeover becomes a rational business decision rather than a fringe risk. DiFrancesco’s framing turns token value from a nice-to-have for holders into a security requirement for the protocol itself.
